How to Assemble Company Trade Licence and Signatory Documents Before Lease
Match the Dubai company trade licence to the draft, file the signatory’s Emirates ID, and add a resolution or POA when the signer is not the manager.

Key takeaways
Before a corporate lease is final, assemble one pre-lease pack: a current trade licence with trade name, licence number, expiry, and registered address matched to the draft lessee; the signatory’s Emirates ID and passport; and a board or partners resolution or notarised power of attorney when the signer is not the manager named on the licence. Stop on an expired licence, a name mismatch, or a signer with no authority paper. Keep the folder with the tenancy file.
A trade-licence PDF and a passport scan have arrived, and the corporate draft is not locked yet. Match the licence trade name, number, expiry, and registered address to the draft lessee, then confirm who may sign: the manager named on the licence signing in that capacity, or anyone else backed by a resolution or power of attorney, with that person’s Emirates ID filed. That pack is not the individual income and ID check, and it is not the Ejari registration upload.

A scan in chat is not a matched pack
The lessor’s job before the corporate draft is final is one folder: current trade licence fields, the draft lessee name matched character-for-character to the trade name on that licence, the authorised signatory’s Emirates ID and passport, and — when the signer is not the manager already named on the licence or memorandum of association (MOA) — a board or partners resolution and/or notarised power of attorney (POA) that covers signing the lease.
The Dubai Land Department tenancy guide tells the registrar, for a company tenant, to take a copy of the trade licence and match trade name, licence number, expiry date, and the address registered on the licence to the lease. Doing that match before anyone finalises the draft is the same habit, earlier in the file.
A licence PDF and a passport page in a chat have not been matched to the draft and have not proved who may sign. The pack closes those two gaps. It does not set up a mainland or free-zone licence, and it does not walk the later registration upload.
Keep three other files out of this pack
Salary screening, the Ejari upload, and a bank mandate often arrive in the same chat as the licence copy. Separate them before you read the inventory.
What this pack is not
This is not the individual income and ID pack (salary letters, bank credits, credit-bureau screening). It is not the Ejari register or renew upload, trustee steps, or registration fee totals. It is not a bank authorised-signatory mandate. Licence-amendment, notary, and POA prices sit outside this pack — none of those amounts belong in the table below.
The individual passport, visa, Emirates ID, and salary-or-licence income check lives in the tenant income and ID verification pack. The registration upload for Ejari — Dubai’s tenancy registration — is covered in the Ejari registration documents checklist. A bank mandate that names who may operate an account is a different paper trail from who may bind the company on a lease.
What to read on each copy
The table is the pack. Each row is a copy to file and a field to read. Signing authority is either the manager named on the licence or MOA signing in capacity, or a resolution or POA when anyone else signs. None of these rows carry a fee.
Company trade licence and signatory pack
| Copy | Field to read | When it applies |
|---|---|---|
| Current trade licence | Trade name, licence number, expiry date, registered address | Always. Stop if the licence is already expired. |
| Draft lessee name vs trade name | Character-for-character match, including legal-form suffix (LLC / L.L.C.) | Always. A dropped suffix or a shortened trade name stops the draft. |
| Signatory Emirates ID (and passport) | Name on the ID matched to the authority line below | Always for the person who will sign. |
| Manager named on the licence / MOA | Manager line or MOA manager; capacity stated when signing | When the manager signs in capacity. Under Federal Decree-Law No. 32 of 2021 Art. 83(2), full powers apply unless the appointment or MOA limits them — a separate board resolution is not required solely because a lease is involved. |
| Board or partners resolution and/or notarised POA | Named person, and express cover for signing (and registering, if needed) the lease | When anyone else signs — the person on the paper must be the person who signs. |
Article 83(2) of Federal Decree-Law No. 32 of 2021 on Commercial Companies states that, unless the manager’s appointment contract or the MOA or statute limits powers, the LLC manager has full powers to manage the company, and acts bind the company when the capacity of manager is stated. Anyone else needs delegation on paper.
For a Dubai mainland licence, you can optionally confirm the number or business name on the Invest in Dubai public licence search. Free-zone licences sit on that free zone’s own register — one mainland search does not cover every issuer. The UAE government enquire-about-licences page points Dubai checks toward Dubai Economy and Tourism through that Invest in Dubai channel.
Run the check in this order
Open the folder before the draft is final. Stop on an expired licence or a name mismatch. Add resolution or POA only when the signer is not the manager signing in capacity. Leave the pack with the tenancy — do not continue into the Ejari upload or a DET licence-setup list.
Assemble and verify the pack
Open the folder before the draft is final
Label one folder as the pre-lease company trade licence and signatory pack. Do this before anyone locks the corporate draft.
File a clear current trade licence
Read trade name, licence number, expiry date, and registered address. If the licence is already expired, stop before signing.
Match the draft lessee to the trade name
Include the legal-form suffix. Stop on a mismatch. Do not plan to “fix it later” at registration.
Confirm the licence on the right register
For a Dubai mainland licence, optionally look up number or name on the Invest in Dubai public search. For a free-zone licence, use that free zone’s own register.
Identify the signer and file ID
If the manager named on the licence or MOA will sign in that capacity, file that person’s Emirates ID and passport. If anyone else will sign, add a board or partners resolution and/or notarised POA that expressly covers signing (and, if needed, registering) the lease.
Match the ID name to the authority line
The name on the Emirates ID must match the licence manager line or the resolution or POA. Stop if the ID and the authority paper name different people.
Leave the pack with the tenancy
Keep the folder with this tenancy file. Do not move it onto an Ejari upload checklist or a DET licence-setup list.
Questions that still come up
On the Dubai Land Department register or renew tenancy contract page, a trustee-centre filing still asks for the original Unified Tenancy Contract, the applicant’s Emirates ID, and an official power of attorney if a representative attends. That list belongs to registration later, not to this pre-lease pack.
FAQ
Does the manager named on the licence always need a board resolution?
No. When the manager named on the licence or MOA signs in that capacity, Federal Decree-Law No. 32 of 2021 Art. 83(2) gives full management powers unless the appointment contract or MOA limits them. Anyone else needs a resolution or POA that covers the lease.
What if the draft drops “LLC” from the trade name?
Treat it as a mismatch. Match the draft lessee name to the trade name on the licence, including the legal-form suffix. Stop the draft until the names align; do not leave the fix for registration.
Which register confirms a free-zone trade licence?
Use that free zone’s own licence register. The Invest in Dubai public search is for Dubai mainland licences. Do not treat one mainland portal as proof for every free-zone issuer.
What if a representative will register Ejari later?
Keep this pack as the pre-lease corporate file. At a trustee centre, the Dubai Land Department list still needs the applicant’s Emirates ID and an official POA if a representative attends. Registration comes later; it is not a reason to skip the licence and signatory match before the draft.
Stop when the folder holds a current trade licence whose trade name, number, expiry, and registered address have been matched to the draft, and the person signing is either the manager named on the licence or MOA signing in capacity or is backed by a resolution or POA that covers the lease, with that signer’s Emirates ID and passport filed. Do not continue into the Ejari upload or a DET licence-setup checklist. Registration, notary, and amendment fee quotes belong elsewhere. IziRento can store the pack with the tenancy; it does not issue licences, notarise POAs, or file Ejari.
Keep the pack with the tenancy
Open a workspace for the tenancy file. IziRento stores related records; it does not issue licences or file Ejari.
Start a workspaceMatch the Dubai company trade licence to the draft, file the signatory’s Emirates ID, and add a resolution or POA when the signer is not the manager.
